DEALERSHIP BUY / SELL INTELLIGENCE

Evaluate the whole transaction—not only Blue Sky.

Model a dealership acquisition or sale using normalized earnings, defensible goodwill multiples, tangible assets, liabilities, capital requirements and transaction costs.

Illustrative decision support: This is not an appraisal, fairness opinion, tax opinion, financing commitment or offer to purchase. Multiples, asset values and adjustments must be supported by current market evidence and qualified professional review.

What does the readiness indicator mean?

This illustrative checklist is capped at 75/100 and is not a validated acquisition or sale recommendation. Buyer points start at 45, with 10 for meeting the entered return target, 10 for earnings/debt-service coverage of at least 1.35, 5 for nonnegative earnings trend and 5 for entering facility capital expenditure. Seller points start at 35, add up to 20 for five completed fields, 10 for nonnegative earnings trend and 10 for entered closing costs. These checks do not verify the evidence or establish deal quality.

Use a multiple supported for the selected earnings basis: pre-tax earnings, EBITDA and EBITDAR are not interchangeable.
